• Growth retainer engagements

The specific scope of services for each client is defined in a separate written service agreement or proposal. These Terms apply in addition to any such agreement.

3. Use of Website

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

Work product created for clients (designs, ad copy, content, etc.) is delivered as agreed in the respective service agreement. The Ecom Growth retains the right to showcase completed work in our portfolio and case studies unless otherwise agreed in writing.

5. Client Obligations

Where you engage us as a client, you agree to:

• Provide accurate, complete, and timely information required for us to deliver the agreed services
• Grant necessary access to platforms, accounts, and tools required (e.g., Shopify admin, Google Ads, Meta Business Manager)
• Ensure all content, assets, and materials you provide to us do not infringe third-party intellectual property rights
• Review and approve deliverables within the timelines agreed in the service agreement
• Make payments in accordance with the agreed payment schedule

6. Payment Terms

Payment terms are defined in each individual service agreement or proposal. Generally:

• Invoices are payable within the timeline specified in your service agreement
• Late payments may result in suspension of services until outstanding amounts are cleared
• All fees are exclusive of applicable taxes unless otherwise stated
• Refunds, where applicable, are governed by the terms of the specific service agreement

7. Confidentiality

Both parties agree to treat as confidential any proprietary or sensitive information shared during the course of the engagement. This includes business data, financial performance metrics, ad account data, and any other information marked or reasonably understood to be confidential.

This obligation of confidentiality does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

8. No Guarantee of Results

While we are committed to delivering our best work and have a strong track record of results, The Ecom Growth does not guarantee specific outcomes such as revenue figures, traffic levels, rankings, or ROAS targets.

eCommerce performance depends on many factors outside our control, including market conditions, competition, product quality, pricing, and platform algorithm changes. Past results (including those featured in our case studies) are not a guarantee of future performance.

9. Limitation of Liability

To the maximum extent permitted by applicable law, The Ecom Growth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Site or services.

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to us in the three months preceding the claim.

Either party may terminate a service engagement in accordance with the termination provisions in the applicable service agreement. We reserve the right to terminate access to our Site or services immediately if you breach these Terms.

Upon termination, provisions of these Terms that by their nature should survive (including intellectual property, confidentiality, and limitation of liability) will continue to apply.

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.
